Terms of Service
These terms govern the review-response and Google Business Profile management service provided by MedReviewOps. Please read them together with our Privacy Policy. The heart of this document is the No Protected Health Information section: we work exclusively with public information and never with patient data.
1. Parties and definitions
"MedReviewOps", "we", or "us" means Ditta Individuale di Bonanno Andrea, an Italian sole proprietorship (Via Guido D'Orso n. 40 B, 91026 Mazara del Vallo (TP), Italy; VAT IT02897520819). "Practice", "you", or "client" means the business that engages us for the service, typically a US private practice. "Service" means the offering described in Section 2. "GBP" means Google Business Profile.
2. The service
We provide a done-for-you service consisting of:
- Drafting and posting replies to the public reviews on your GBP;
- Publishing approximately one GBP post per week;
- Alerting you to negative reviews with a suggested offline recovery step;
- Sending a monthly one-page performance report.
The Service uses only publicly available information from your GBP. It does not include software you log into, and it does not include legal advice.
3. No Protected Health Information
MedReviewOps provides review-response and profile-management services using exclusively publicly available information from the Practice's Google Business Profile. MedReviewOps does not request, require, access, or store Protected Health Information ("PHI") as defined at 45 C.F.R. § 160.103, and the Practice agrees not to transmit PHI to MedReviewOps in any form, including patient names, treatment details, appointment information, or billing or insurance information. All public replies are drafted so as not to confirm or deny that any individual is or was a patient of the Practice.
The parties do not intend that MedReviewOps act as a "business associate" of the Practice within the meaning of 45 C.F.R. § 160.103, because the Service does not involve the creation, receipt, maintenance, or transmission of PHI on behalf of the Practice.
MedReviewOps is not a law firm and does not provide legal advice. "HIPAA-aware" describes reply workflows designed around publicly available HHS/OCR guidance; it is not a certification, and no HIPAA certification exists.
4. Service guarantee
Our guarantee is: every eligible public review answered within one business day, or that month is free. If we miss this standard in a given month, that month's fee is refunded; you keep the replies already posted.
An "eligible review" is a new public review visible to us on your Google Business Profile; content removed or filtered by Google is excluded. A "business day" means Monday through Friday, US Eastern Time, excluding US federal holidays.
5. Fees, billing, and cancellation
- The Service is billed monthly in advance through Stripe, in US dollars.
- There is no setup fee and no long-term contract.
- You may cancel at any time; cancellation takes effect for the current month and stops future billing. Fees already paid are not prorated except under the guarantee in Section 4.
- The founding rate, where offered, is honored as stated at the time you subscribe.
6. Google Business Profile access
To deliver the Service you grant us "Manager" access to your GBP. You may revoke this access at any time. We do not become the owner of your profile, reviews, or any other asset, and access exists solely to perform the Service.
7. What the Service does not do
- We do not promise the removal of any review. Where a review appears to violate Google's policies we flag it through Google's official process, but the decision is Google's alone.
- We do not generate, solicit, or incentivize fake or rewarded reviews, consistent with Google's policies and healthcare advertising rules.
- We do not provide legal, medical, or tax advice.
8. Your responsibilities
You agree to provide accurate onboarding information, to maintain the GBP access needed for the Service, and not to transmit PHI to us (Section 3). You are responsible for the accuracy of any factual details you ask us to include in replies or posts.
9. Intellectual property
Replies and posts we create for you, once published, are yours to keep. We retain ownership of our internal methods, templates, and workflows. Neither party gains rights in the other's trademarks except as needed to perform the Service.
10. Disclaimers and limitation of liability
The Service is provided on a commercially reasonable basis. We do not guarantee any particular rating, ranking, search result, patient volume, or business outcome. To the maximum extent permitted by law, our total liability arising out of the Service is limited to the fees you paid us in the three months preceding the event giving rise to the claim.
11. Governing law
These terms are governed by the laws of Italy. Specific venue arrangements for a client engagement can be agreed in writing between the parties.
12. Changes to these terms
We may update these terms. Material changes will be reflected by updating the "Last updated" date above and, for active clients, communicated by email.
